These Terms and Conditions ("Terms") govern your access to and use of Kuzana Connect ("the Platform"), a member-discovery service operated by Kuzana Accelerator Limited ("Kuzana", "we", "us", "our"). Kuzana Connect allows members of the Kuzana community to create profiles, discover other members, and connect with one another.
By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2.1. You must be at least 18 years old to use the Platform.
2.2. The Platform is intended for members and prospective members of the Kuzana community. We may require verification of your membership or eligibility.
2.3. By using the Platform, you confirm that the information you provide is accurate and that you are authorised to represent any business or organisation you list.
3.1. Registration requires a valid WhatsApp number, which is used to verify your identity via a one-time code.
3.2. You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us promptly of any unauthorised use.
3.3. You may not create accounts using false information, impersonate others, or register on behalf of someone without their authorisation.
3.4. Each member is assigned a member number. We may assign, change, or revoke membership status at our discretion.
4.1. You are solely responsible for the information, text, links, images, and other content you add to your profile ("Your Content").
4.2. You grant Kuzana a non-exclusive, royalty-free licence to display Your Content on the Platform for the purpose of operating the service (including making it discoverable to other members according to your contact preferences).
4.3. You must not post content that is false, misleading, unlawful, defamatory, infringing, obscene, or that violates the rights of others.
4.4. You retain ownership of Your Content. You may edit or remove it at any time, subject to the effects described in Section 10.
4.5. We may remove content or suspend accounts that violate these Terms, without notice.
You agree not to:
6.1. The Platform facilitates discovery and connection between members. It does not vet, endorse, verify, or guarantee any member, their identity, their expertise, their business, or the accuracy of their profile.
6.2. Any interaction, communication, agreement, transaction, or relationship you enter into with another member is solely between you and that member. Kuzana is not a party to and bears no responsibility for such interactions or their outcomes.
6.3. You are responsible for conducting your own due diligence before relying on, transacting with, or engaging any member. Kuzana makes no representations about the suitability, reliability, or trustworthiness of any member.
7.1. The Platform, including its design, code, branding, and content (excluding Your Content and other members' content), is owned by or licensed to Kuzana and protected by applicable law.
7.2. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform without our written permission.
Your use of the Platform is also governed by our Privacy Policy, which explains how we handle personal data. By using the Platform you consent to that handling.
9.1. The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
9.2. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.
9.3. We do not warrant the accuracy, completeness, or usefulness of any member profile or content on the Platform.
9.4. Any reliance you place on the Platform or its content is at your own risk.
10.1. You may delete your account at any time. On deletion, your profile is removed from discovery; some data may be retained as described in the Privacy Policy or as required by law.
10.2. We may suspend, restrict, or terminate your account at our discretion, including for violation of these Terms, with or without notice.
10.3. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will survive.
11.1. To the maximum extent permitted by law, Kuzana, its officers, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or in connection with your use of (or inability to use) the Platform.
11.2. Without limiting the above, Kuzana shall not be liable for:
11.3. To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to the Platform shall not exceed the total amount, if any, you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
11.4. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
You agree to indemnify and hold harmless Kuzana and its officers, employees, partners, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Platform; (b) Your Content; (c) your violation of these Terms; or (d) your interactions with other members.
We may update these Terms from time to time. We will post the updated Terms with a revised "Last updated" date and, where appropriate, notify you. Continued use after changes constitutes acceptance.
14.1. These Terms are governed by the laws of the Republic of Kenya.
14.2. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Kenya.
15.1. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
15.2. Our failure to enforce any right or provision is not a waiver of that right or provision.
15.3. These Terms constitute the entire agreement between you and Kuzana regarding the Platform.
